Terms and Conditions

 

These Terms and Conditions (“Terms”) govern the provision of services by ProConnective (“the Company”, “we”, “us”, “our”) to the client (“the Client”, “you”, “your”). By engaging our services, signing a proposal, or making payment, the Client agrees to be bound by these Terms.

 

1. Services

1.1. ProConnective provides digital marketing services including, but not limited to:

  • 360° virtual tour creation and hosting

  • Website design and development

  • Website management and maintenance

  • Social media management and related marketing services

1.2. The scope of services shall be defined in the proposal, quotation, or service agreement agreed upon between ProConnective and the Client.

 

2. Fees and Payment

2.1. All fees are outlined in the agreed proposal or invoice and are payable in advance unless otherwise stated in writing.

2.2. One-time fees apply to services such as 360° virtual tour creation and website development.

2.3. Ongoing services, including hosting, website management, and social media management, are billed on a monthly recurring basis.

2.4. Failure to make payment may result in suspension or termination of services without notice.

 

3. Refunds and Cancellations

3.1. All payments are non-refundable except as expressly stated in the ProConnective Refund & Cancellation Policy, which forms part of these Terms.

3.2. Monthly service fees are non-refundable once the billing period has commenced.

3.3. Cancellation of ongoing services must be submitted in writing. Services will continue until the end of the current billing period.

 

4. 360° Virtual Tours

4.1. Ownership of the 360° virtual tour content remains with ProConnective until all outstanding fees are paid in full.

4.2. Hosting services are provided on a monthly basis and are non-refundable.

4.3. If hosting fees are not paid, ProConnective reserves the right to suspend or remove access to the virtual tour.

 

5. Website Development

5.1. Website development timelines are estimates only and may vary depending on client feedback, revisions, and content delivery.

5.2. The Client is responsible for providing accurate content, images, and approvals in a timely manner.

5.3. Upon full payment, ownership of the website design is transferred to the Client, excluding third-party software, plugins, themes, or licenses.

 

6. Website Management and Maintenance

6.1. Website management services include ongoing maintenance, updates, and support as outlined in the selected package.

6.2. These services are time-based and considered delivered once the billing period begins.

6.3. ProConnective is not responsible for issues arising from third-party updates, plugins, or hosting providers.

 

7. Social Media Management

7.1. Social media management services are provided on a best-efforts basis and do not guarantee specific engagement, follower growth, or revenue results.

7.2. The Client grants ProConnective permission to manage designated social media accounts for the duration of the agreement.

7.3. All social media management fees are non-refundable.

 

8. Client Responsibilities

8.1. The Client agrees to provide all required materials, approvals, and information promptly.

8.2. The Client warrants that all content supplied does not infringe any third-party intellectual property rights.

8.3. Delays caused by the Client may impact delivery timelines and do not constitute grounds for refunds.

 

9. Intellectual Property

9.1. ProConnective retains ownership of all methodologies, processes, templates, and pre-existing materials used in delivering services.

9.2. The Client is granted a non-exclusive licence to use completed deliverables upon full payment.

 

10. Limitation of Liability

10.1. To the maximum extent permitted by law, ProConnective shall not be liable for any indirect, incidental, or consequential damages.

10.2. ProConnective’s total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

 

11. Third-Party Services

11.1. ProConnective may use third-party platforms, tools, or providers to deliver services.

11.2. ProConnective is not responsible for outages, failures, or changes imposed by third-party providers.

 

12. Termination

12.1. ProConnective may terminate services immediately if the Client breaches these Terms, including failure to make payment.

12.2. Upon termination, all outstanding fees become immediately payable.

 

13. Confidentiality

13.1. Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement.

 

14. Governing Law

14.1. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ProConnective is registered.

 

15. Amendments

15.1. ProConnective reserves the right to update or amend these Terms at any time. Continued use of services constitutes acceptance of the revised Terms.

 

16. Entire Agreement

16.1. These Terms, together with any proposals or written agreements, constitute the entire agreement between the parties and supersede all prior discussions or agreements.
